SPCG Successful for PGE Elektrownia Opole Minority Shareholders on Appeal

Studnicki, Pleszka, Cwiakalski, Gorski has successfully represented the minority shareholders of PGE Elektrownia Opole in a PLN 260 million dispute with PGE Gornictwo i Energetyka Konwencjonalna and PGE Polska Grupa Energetyczna before the Court of Appeal in Warsaw involving compensation for an improper determination of the share exchange parity in the process of merging the companies.

SPCG reports that the Court of Appeal “quashed the judgment of the first instance court, which was unfavorable for minority shareholders, and remitted the case to the first instance court due to the court's failure to recognize the essence of the case.” According to the firm, “the case was legally complicated, as the dispute concerned the possibility of transferring receivables due to the essence of the legal relationship, the validity of the assignment of receivables agreements, and the shareholders' legitimacy in terms of the possibility of claiming compensation for improper determination of the share exchange parity.”
