Recent years have seen a remarkable increase in the number of international arbitration disputes involving Romanian parties. In light of its flexibility, of the freedom parties have in constituting the arbitral tribunal and choosing the seat and language of the arbitration, and the perceived speedy and effortless enforceability of arbitral awards, international arbitration has become a widely-used dispute settlement mechanism. 

Bondoc si Asociatii has assisted JD Norman Industries Inc., a US-based manufacturer of steel components, with Romanian law aspects of its acquisition of REGE Automotive Brasov. The transaction, which involved the shareholdings of REGE Group in several countries, including Germany and Romania, involved financing by Wanxiang America Corporation, and Bondoc si Asociatii assisted JD Norman Industries on Romanian law aspects of that as well. Dentons advised Wanxiang America on the financing.  

The Ministry of Energy introduced guidelines for a new support mechanism for cogeneration (technological process of simultaneous generation of electricity and useful heat in CHP plants). All existent cogeneration installations will be allowed to benefit from the support system, based on a premium paid extra in the electricity price. For new units, an auction mechanism will be introduced. A “feed-in-premium” (FiP) mechanism will be provided for those installations with total installed capacity lower than 1MW.

Starting May 25, 2018, all companies, irrespective of their field of activity, have to comply with the stricter rules on personal data processing introduced by General Data Protection Regulation No. 679/2016 (the GDPR) or face significantly larger fines. The gap between the current maximum fines, which cannot exceed EUR 22,000, and the fines under the GDPR, which can go as high as EUR 20,000,000 or 4% of the annual worldwide turnover, have drawn a significant amount of attention to the topic.

Dechert and Bondoc & Asociatii advised the buyers on the deal, which is reportedly the largest deal ever completed by a private equity fund in Romania and the largest deal in the retail sector in the country’s history. The transaction remains subject to approval by Romania's Competition Counsel.

Bondoc si Asociatii has advised investment fund Global Finance on the sale by its real estate division of the land of the former Automatica factory in Bucharest to the French group Auchan and One United. Popovici Nitu Stoica & Asociatii advised the buyers on the deal.

Rizoiu & Poenaru, Clifford Chance, and Skadden, Arps, Slate, Meagher & Flom have advised Affidea on its acquisition of the Hiperdia diagnostics centers in Romania. Bondoc & Asociatii and Weil, Gotshal & Manges advised Hiperdia on the transaction, which remains contingent on obtaining regulatory approvals.
