Rymarz Zdort Advises Aria Fund on Sale of Nethone to Advent International

Rymarz Zdort has advised Nethone shareholder II Aria AIFM on its sale of a minority stake in Nethone to Advent International. CMS reportedly advised Advent International.

II Aria AIFM Spolka Akcyjna ASI Spolka Komandytowo-Akcyjna is a Polish limited joint-stock partnership. According to Rymarz Zdort, it is a growth fund investing in technology companies from Central Europe and actively supporting them across a broad spectrum of business development issues.

Nethone is a Polish technology company involved in the prevention of payment fraud in online channels.

Advent International is a private equity fund that owns the MangoPay group, a fintech company providing payment infrastructure solutions for merchant platforms.

According to Rymarz Zdort, “the acquisition of Nethone by Advent International, and its integration into the MangoPay Group, is the next step in the fund's investment strategy, launched in spring 2022, to create a global technology leader in payment and authentication infrastructure in the market.”

Rymarz Zdort’s team included Partner Filip Lesniak and Counsel Jakub Krzemien.

Editor's Note: After this article was published, DLA Piper announced it had advised Nethone on the sale that saw Advent International become its new majority investor, with Nethone set to join Advent's MangoPay Group. The firm's team included Partners Jakub Marcinkowski and Lukasz Dynysiuk, Counsel Michal Gintowt, and Senior Associate Rafal Dostatni.

Subsequently, SSK&W announced it had advised one of Nethone's investors – Atmos Ventures, a Polish-American VC fund operating under the Open Innovation program – on its exit. The firm's team included Partner Szymon Syp and Counsel Iga Wojtczak-Opala.
