Wolf Theiss Advises RBHR on EUR 300 Million Notes Tender Offer and New Issuance

Wolf Theiss has advised Raiffeisenbank Austria on its recent tender offer for outstanding notes and the successful issuance of new EUR 300 million ordinary senior eligible notes. Linklaters reportedly advised an international banking consortium that participated in the offering.

According to Wolf Theiss, the advice firstly concerned RBHR’s invitation to holders of its outstanding EUR 300 million 7.875% ordinary senior eligible notes due 2027 to tender their notes for purchase. The tender offer, which commenced on May 13, 2025, and was governed by the terms of the tender offer memorandum dated the same day, resulted in EUR 99.9 million in notes being validly tendered. Settlement occurred on May 23, 2025.

Moreover, Wolf Theiss advised RBHR as the issuer of EUR 300 million 3.625% ordinary senior eligible notes due 2029. The new notes, carrying an annual coupon of 3.625% and maturing in 2029, were placed with professional clients and eligible counterparties. The notes are denominated at EUR 100,000 and are admitted to trading on the regulated market of the Luxembourg Stock Exchange.
