Popovici Nitu Stoica & Asociatii has advised the Ameropa Group on the full refinancing of its main revolving credit facility in Romania to the tune of EUR 542 million. Nestor Nestor Diculescu Kingston Petersen advised the banking syndicate.
The involved lenders included Banca Comerciala Romana, Raiffeisen Bank, ING Bank Romania, Unicredit Bank, Alpha Bank Romania, Banca Transilvania, BRD Groupe Societe Generale, Banca Comerciala Intesa Sanpaolo Romania, and GarantiBank International.
The Ameropa Group is a Swiss grain and fertilizer trader. Active in more than 30 countries, the group is the largest exporter of grains out of the Danube region and the largest independent global fertilizer trader, which selectively invests in logistical and processing assets, PNSA reported.
According to PNSA, the refinancing facility closed with a total amount of EUR 542 million, a substantial increase over the prior EUR 347 million facility. “The funds will be used by Ameropa Group's Romanian entities – fertilizer producer Azomures, trader Ameropa Grains, and port operator Chimpex – to finance their ongoing working capital needs.”
At the same time, NNDKP reported the banking syndicate provided EUR 550 million in financing for the Ameropa Group, to be used to refinance its main credit facility in Romania.
A year earlier, both PNSA and NNDKP had also advised on Ameropa's initial revolving credit facility in Romania (as reported by CEE Legal Matters on August 8, 2022).
The PNSA team included Partner Bogdan Stoica, Senior Associates Ioana Lazar and Claudia Salomia, and Associate Crina Stan.
The NNDKP team included Partner Valentin Voinescu, Senior Associate Alexandru Ciambur, and Associate Catalina Dan.
