PNSA snd NNDKP Advise on Syndicated Credit Facility for Ameropa

Popovici Nitu Stoica & Asociatii has advised Ameropa on a EUR 324 million multivalued revolving credit facility. The lenders, a banking syndicate consisting of Banca Comerciala Romana and Raiffeisen Bank as principal initiators, bookrunners, and structuring banks, the Bucharest Branch of ING Bank NV and UniCredit Bank SA as mandated lead arrangers and lenders, and BCR as facility, guarantee, and documentation agent. The banks were advised by Nestor Nestor Diculescu Kingston Petersen.

Founded in 1948, Ameropa is a privately-owned Swiss producer of fertilizers and grains. The facility will be used by Ameropa Group subsidiaries Azomures SA, Ameropa Grains SA, and Chimpex SA, to refinance existing bilateral facilities and finance new working capital needs.

The maturity of the facility may be extended to three years. The facility consists of two tranches, a revolving credit facility and another that can be used as ancillary facilities for various purposes, including overdraft facilities, warranty letters, and letters of credit.

The PNSA team consisted of Partner Alexandru Ambrozie, Managing Associate Codrin Luta, and Senior Associate Teodora Cazan.

The NNDKP team was led by Partner Valentin Voinescu and included Associates Alexandru Ciambur and Raluca Antonescu.

Previously, PNSA assisted Ameropa on the acquisition of Sarulesti agricultural base from Comcereal Fundulea (as reported by CEE Legal Matters on September 24, 2018), and Ameropa’s acquisition of 40% of the shares of agribusiness companies Promat Comimpex and Agroind Cauaceu (as reported on June 21, 2018).
