RTPR Allen & Overy has advised private equity fund PAI partners, owner of R&R Ice Cream, on Romanian elements of its joint venture with Nestle to form a new entity which will be called Froneri. The joint venture covers markets in Europe, the Middle East, Africa, South America, and the Philippines, and will employ more than 15,000 people. Allen & Overy was global counsel to R&R Ice Cream on the deal, which is expected to close around the end of the year, subject to employee consultations and regulatory approval.
Voicu & Filipescu has advised Bel Rom Twelve on the sale of 12 of the 22.5 hectares of land it owns in Ramnicu Valcea, Romania, to the South-African investment fund New Europe Property Investments (NEPI), marking the third such sale of real estate by the Bel Rom group to NEPI. Reff & Associates — a member of Deloitte Legal — advised NEPI on the deal.

Schoenherr advised the shareholders of Albalact on the transaction, which Leroy si Asociatii describes as “the first significant voluntary takeover bid to be carried out on the Bucharest Stock Exchange.”

Nestor Nestor Diculescu Kingston Petersen (NNDKP) has advised Globalworth Real Estate Investments Ltd., a real estate investment fund, led by Greek businessman Ioannis Papelakas, targeting opportunities in Romania, on its acquisition of the second building in the Green Court Bucharest project from Skanska. PeliFilip advised Skanska on the deal.
Maravela & Asociatii has announced the appointment of Ioan Roman to its partnership — the first Partner-level promotion the firm has made since its establishment in 2013. Going forward, Roman will also co-head the dispute resolution department of the firm.
White & Case has advised Super Group Limited (Super Group) on its acquisition of the IN tIME group from funds advised by Equistone Partners Europe, in a deal that values the company at EUR 153.5 million. Equistone was advised by P+P Pollath + Partners. The transaction should complete in the autumn after approval by the central bank of South Africa.
Dentons has assisted AmRest Holdings SE in acquiring Starbucks franchises in Romania and Bulgaria from the Marinopoulos Group. AmRest will now operate 18 Starbucks coffee shops in Romania, and 5 in Bulgaria. Dentons describes the acquisition as an "entryway into the Romanian market” for AmRest. The transaction is valued at approximately EUR 16 million.
