PeliFilip Assists Sensiblu in Acquisition of 78 Pharmacies belonging to Sibpharmamed (Polisano)

PeliFilip has assisted Sensiblu and several of its affiliates in the acquisition of 78 pharmacies belonging to Sibpharmamed, which is part of the Polisano group. As a result of the acquisition the number of units owned by Sensiblu increased by 20%.

PeliFilip reports that it provided assistance with respect to the contractual documentation and the merger notification proceedings in front of the Romanian Competition Council. According to PeliFilip, "the transaction required analysis and resolution of several complex commercial and financial matters, which were addressed in the contractual documentation."

Established in 1997, the Sensiblu company is part of A&D Pharma Group, the largest pharmaceutical group in Romania, with a turnover of over EUR 1 billion at the end of 2015. Currently, Sensiblu offers integrated health, beauty and wellbeing solutions through its more than 470 pharmacies across Romania to over 5 million patients and regular clients.

The negotiation team was led by Mihaela Scarlatescu, Head of Legal of the A&D Pharma Group, closely assisted by a PeliFilip team led by Partners Carmen Peli and Ioan Dumitrascu.

"Despite the complexity of the project and Sensiblu’s strong position on the pharmaceutical retail market, we successfully managed to obtain the clearance decision from the authority in a relatively short period of time, by striking the right balance between the applicable competition provisions and the client’s need to proceed rapidly," said Ioan Dumitrascu.
