Norton Rose Fulbright has advised a consortium of financial institutions on the PLN 3.7 billion (approximately EUR 880 million) refinancing of Swiatlowod Inwestycje. Clifford Chance advised Swiatlowod Inwestycje.

Swiatlowod Inwestycje is a Poland-based wholesale-only fibre-optic network operator. It was established in 2021 as a 50/50 joint venture between Orange Polska and APG Asset Management, a Dutch pension asset manager with a telecom infrastructure portfolio. According to Norton Rose, the new financing package refinances the company’s existing debt and supports the next phase of its long-term fibre rollout strategy, aiming to connect an additional 700,000 households and reach a total of 3.1 million by 2032.

As the firm reports, the financing consortium included Bank Pekao, BNP Paribas Bank Polska, European Bank for Reconstruction and Development, European Investment Bank, ING Bank Slaski, PKO Bank Polski, Societe Generale, TFI PZU, and UniCredit as the bookrunners and mandated lead arrangers, Bank Gospodarstwa Krajowego and Santander Bank Polska as the mandated lead arrangers, and mBank and Raiffeisen Bank International as the lead arrangers.

The Norton Rose Fulbright team included Warsaw-based Partners Agnieszka Braciszewska and Grzegorz Dyczkowski, Counsels Marta Kawecka, Artur Jonczyk, and Wojciech Janik, Associates Karolina Majcher and Izabela Kregiel, and Lawyer Dominika Wojtkowska, as well as lawyers in London and Paris.

The Clifford Chance team included Partner Andrzej Stosio, Counsel Kacper Bardan, Senior Associate Artur Gladysz, Associate Mateusz Leleno, and Trainees Natalia Zan and Anna Kalinowska, as well as with further lawyers in the Netherlands and France.
