MFW Fialek has advised Orkla on the acquisition of shares in the Da Grasso pizzeria chain. NGL Legal advised sellers Karolina Rozwandowicz and Magdalena Pirog.

The transaction remains contingent on regulatory approval.

Orkla, a Norwegian conglomerate with its head office in Oslo, operates in the Nordic region, Eastern Europe, Asia, and the US. It is listed on the Oslo Stock Exchange.

Da Grasso is a Polish chain of restaurants specializing in Italian cuisine, in particular pizza. The first Da Grasso pizzeria was established in 1996 in Lodz.

According to MFW Fialek, “the transaction, in addition to the acquisition of the shares, includes the reinvestment of the existing Da Grasso shareholders in a holding company that is Da Grasso’s sole owner.”

According to Orkla, former Da Grasso owners Karolina Rozwandowicz and CEO Magdalena Pirog "will continue as shareholders in partnership with Orkla. Following the transaction, Orkla will own 74 % of the shares in the company, and the minority shareholders will own the remaining shares."

MFW Fialek’s team included Partner Miroslaw Fialek, Counsel Rafal Siemieniec, Senior Associate Mateusz Mazurkiewicz, Associates Grzegorz Policht, Pawel Siwiec, Wojciech Lichterowicz, and Mateusz Wieckowski, and Junior Associate Adrianna Kloda-Szczesna.
