SMM Legal has advised Grupa Lotos on the spin-off of its Gdansk refinery to its subsidiary Lotos Asfalt.
The estimated transaction value exceeds PLN 4.8 billion.
According to SMM Legal, “the transaction is part of the client’s intra-group reorganization, and is one of the preparatory steps for the remedies requested by the European Commission in order to green-light the merger of Grupa Lotos and PKN Orlen.”
Grupa Lotos is a vertically integrated oil company based in Gdansk, Poland. Its main activity branches are crude oil production, refining, and the marketing of oil products.
