SPCG has advised Enterprise Investors' private equity fund on the acquisition of a 36.3% stake in Polish utility container manufacturer Modular System. Gessel advised the seller on the transaction.

According to SPCG, Enterprise Investors is "one of the largest private equity firms in Poland and Central and Eastern Europe." Operating since 1990, Enterprise Investors specializes in mid-market succession-driven buyout transactions and provision of expansion financing to high-growth enterprises across a range of sectors.

Modular System provides solutions for modular and container architecture. The company produces multi-function modules, including individual facilities, or parts of large buildings both storied and ground-floor.

"We expect container and modular technologies to increase in popularity in the years to come, translating into strong demand for this type of construction. We believe Modular System will not only strengthen its leading position in Poland but will become a regional champion," Enterprise Investors Partner Michal Kedzia commented.

"Enterprise Investors’ strong track record in the construction industry, including the prefabrication segment, was an important factor in our decision-making process. Together, we plan to replicate this success in the utility containers and modular systems sector," added Modular System Vice President Mariusz Brudnicki.

The SPCG team was lead by Partner Artur Zapala and Counsel Agnieszka Kolodziej-Arendarska, and included Partner Marcin Kubala, Counsel Lukasz Przyborowski, Senior Associates Marcin Balicki, Piotr Rodziewicz, and Ewelina Rumak, Associates Marta Szczawinska-Pogorzelska, Grzegorz Keler, Piotr Piotrowski, and Agata Wrobel, and Junior Associate Marcin Gutkowski.

Gessel’s team consisted of Partner Piotr Schramm and Managing Associate Michal Boryczka.
