Following Food Union’s acquisition of Premia earlier this year (reported on by CEE Legal Matters on March 13, 2015), Sorainen has now advised Food Union on an internal cross border merger in which Premia KPC in Lithuania and former holding company Nordic Foods Holding in Estonia merged with Premia Tallinna Kulmhoone in Estonia.
The firm describes the merger as "a complex transaction involving a simultaneous merger of two Estonian companies as well as the cross border merger of the Lithuanian company with the Estonian company,” reports that, as a result, "the management of the group is optimised, with the costs of management and intra-group transactions reduced,” and says that, “in addition, the merger increased the effectiveness of internal audit, thereby offering better protection to the interests of clients and cooperation partners.”
Sorainen’s cross-office team was led by Estonian Partner Toomas Prangli, and included Estonian Partners Karin Madisson and Algirdas Peksys, Specialist Counsel Kadri Kallas, and Associates Juulika Aavik and Triin Tigane. Senior Associate Liudas Ramanauskas and Associate Evaldas Dudonis from the firm’s Lithuanian office participated as well.
