Looking back over the last 25 years, I’m struck by what an extraordinary period this has been.
Clifford Chance and the Yegin Ciftci Attorney Partnership have advised HSBC Bank plc in connection with the recent financing of the state-of-the-art Elazig integrated health campus using the first ever greenfield project bond structure in the Turkish PPP market. The sponsors were advised by Willkie Farr & Gallagher and Bezen & Partners.
Overall, this was a more active year for FCPA enforcement actions when compared to 2015. This year, Department of Justice (“DOJ”) took a total of 10 enforcement actions and Securities and Exchange Commission (“SEC”) took a total of 25 enforcement actions. Like last year, SEC is more active than DOJ, in terms of numbers of the enforcement actions. Of the 10 enforcement actions taken by DOJ, only 1 of them was related to a real person. Of the 25 SEC enforcement actions 4 of them were related real persons.
Kolcuoglu Demirkan Kocakli has advised Mediterra Capital, a prominent Turkish private equity fund, on its acquisition of 70% of shares in Arkel Elektrik Elektronik Sanayi ve Ticaret Anonim Sirketi through its portfolio company, Istinye Asansor Teknolojileri Anonim Sirketi. The sellers were advised by the Caliskan Kizilyel Toker (CKT) law firm.
Paksoy is reporting that it advised OEP Turkey Tech B.V., a portfolio company of OEP — a middle-market private equity firm focused on the industrial, healthcare, and technology sectors in North America and Europe — on its December 6, 2016 agreement with ZTE Cooperatief U.A. for sale of 48.04% of Netas Telekomunikasyon, a Turkish digital transformation company.
Schoenherr has advised Kansai Paint Co Ltd., from Osaka, on the acquisition of the Helios Coatings Group from Ring International Holding AG ("RIH"), GSO Capital Opportunities Fund II (Luxembourg) S.a r.l., and Templeton Strategic Emerging Markets Fund IV, LDC. The sellers were advised by Brandl & Talos.
White & Case has announced that two CEE attorneys – Istanbul-based Corporate/M&A specialist Ceylan Kara and Moscow-based Project Finance specialist Ekaterina Logvinova – are among the 15 promoted by the firm to Local Partner worldwide with effect from January 1, 2017. Another six CEE lawyers (three in Prague, two in Warsaw, and one in Istanbul) were among the 26 promoted to Counsel worldwide.
Transparency International (“TI”) has published its regional Corruption Barometer for Europe and Central Asia1 (“Report”) on 16 November 2016. According to the findings of the Report, one third of the citizens of the region perceive corruption as one of the biggest three challenges facing their country.
Paksoy, working with Freshfields Bruckhaus Deringer, has advised Klockner Pentaplast and Farmamak on a syndicated loan received in October 2016 from Turkish banks Garanti Bankasi and Odeabank in the amount of TL 75 million.
